Terms& Conditions

The following terms and conditions apply to all website development /design services provided by WEBINFONEX

1.Acceptance

  • It is not necessary for any Client to have signed an acceptance of theseterms and conditions for them to apply. If a Client accepts a quotethen the Client will be deemed to have satisfied themselves as to theterms applying and have accepted these terms and conditions in full.

Pleaseread these terms and conditions carefully. Any purchase or use of ourservices implies that you have read and accepted our terms andconditions.

2.Charges

  • Charges for services to be provided by WEBINFONEX are defined in the project quotation that the Client receives via e-mail. Quotations are validfor a period of 30 days. WEBINFONEX reserves the right to alter ordecline to provide a quotation after expiry of the 30 days.

  • Unlessagreed otherwise with the Client, all website design services requirean advance payment of a minimum of Fourty(40) percent of the projectquotation total before the work is supplied to the Client for review.A second charge of Fourty(40) percent is required after thedevelopment stage, with the remaining Fourty(40) percent of theproject quotation total due upon completion of the work, prior toupload to the server or release of materials.

  • Payment for services is due by cheque or bank transfer or Vai Pay U Money.

3.Client Review

  • WEBINFONEX will provide the Client with an opportunity to review the appearanceand content of the website during the design phase and once theoverall website development is completed. At the completion of theproject, such materials will be deemed to be accepted and approvedunless the Client notifies WEBINFONEX otherwise within ten (10) days of the date the materials are made available to the Client.

4.Turnaround Time and Content Control

  • WEBINFONEX will install and publicly post or supply the Client's website by thedate specified in the project proposal, or at date agreed with Clientupon WEBINFONEX receiving initial payment, unless a delay isspecifically requested by the Client and agreed by WEBINFONEX.

  • Inreturn, the Client agrees to delegate a single individual as aprimary contact to aid WEBINFONEX with progressing the commission ina satisfactory and expedient manner.

  • Duringthe project, WEBINFONEX will require the Client to provide websitecontent; text, images, movies and sound files

5. Failure to provide required website content:

  • WEBINFONEXi s a small business, to remain efficient we must ensure that work we have programmed is carried out at the scheduled time. On occasions we may have to reject offers for other work and enquiries to ensure thatyour work is completed at the time arranged.

  • This is why we ask that you provide all the required information inadvance. On any occasion where progress cannot be made with yourwebsite because we have not been given the required information inthe agreed time frame, and we are delayed as result, we reserve theright to impose a surcharge of up to 25%. If your project involvesSearch Engine Optimisation we need the text content for your site inadvance so that the SEO can be planned and completed efficiently.

  • If you agree to provide us with the required information andsubsequently fail to do within one week of project commencement wereserve the right to close the project and the balance remainingbecomes payable immediately. Simply put, all the above condition saysis do not give us the go ahead to start until you are ready to do so.

  • NOTE:Text content should be delivered as a Microsoft Word, email (orsimilar) document with the pages in the supplied documentrepresenting the content of the relevant pages on your website. Thesepages should have the same titles as the agreed websitepages. Contactus if you need clarification on this.

  • Using our content management system you are able to keep your content up to date your self.

  • If Client will not provoide required data or contents for Website Development Purpose within 30 Days after Initial Payment, We will give you reminders meanwhile but even though client will fail to provide data then thereafter Webinfonex will not responsible for work dealy neither advance payment will not refunded by any resons.

6.Payment

  • Invoices will be provided by WEBINFONEX upon completion but before publishingthe live website. Invoices are normally sent via email or in hand ; however, theClient may choose to receive hard copy invoices. Invoices are dueupon receipt. Accounts that remain unpaid thirty (30) days after thedate of the invoice will be assessed a service charge in the amountof the higher of one and one-half percent (1.5%) or Rs.500 per monthof the total amount due.

7.Additional Expenses

  • Client agrees to reimburse WEBINFONEX for any additional expenses necessaryfor the completion of the work. Examples would be purchase of specialfonts, stock photography etc.

8.Web Browsers

  • WEBINFONEX makes every effort to ensure websites are designed to be viewed bythe majority of visitors. Websites are designed to work with the mostpopular current browsers (e.g. Firefox, Internet Explorer 8 & 9,Google Chrome, etc.). Client agrees that WEBINFONEX cannot guaranteecorrect functionality with all browser software across differentoperating systems.

  • WEBINFONEXcannot accept responsibility for web pages which do not displayacceptably in new versions of browsers released after the websitehave been designed and handed over to the Client. As such, WEBINFONEXreserves the right to quote for any work involved in changing thewebsite design or website code for it to work with updated browsersoftware.

9.Default

  • Accountsunpaid thirty (30) days after the date of invoice will be consideredin default. If the Client in default maintains any information orfiles on WEBINFONEX's Web space, WEBINFONEX will, at its discretion,remove all such material from its web space. WEBINFONEX is notresponsible for any loss of data incurred due to the removal of theservice. Removal of such material does not relieve the Client of theobligation to pay any outstanding charges assessed to the Client'saccount. Cheques returned for insufficient funds will be assessed areturn charge of Rs.250/-andthe Client's account will immediately be considered to be in defaultuntil full payment is received. Clients with accounts in defaultagree to pay WEBINFONEX reasonable expenses, including legal fees andcosts for collection by third-party agencies, incurred by WEBINFONEXin enforcing these Terms and Conditions.IfClient will not agree to make payments as per mentioned in WorkAgreement WEBINFONEX has right to stop working on your Project. Ifclient do not working further on any projects no payment will berefunded as WEBINFONEX would have to spend working hours to executethat work.

10.Termination

  • Terminationof services by the Client must be requested in a written notice andwill be effective on receipt of such notice. E-mail or telephonerequests for termination of services will not be honoured until andunless confirmed in writing. The Client will be invoiced for designwork completed to the date of first notice of cancellation forpayment in full within thirty (30) days.

11.Indemnity

  • All WEBINFONEX services may be used for lawful purposes only. You agreeto indemnify and hold WEBINFONEX harmless from any claims resultingfrom your use of our service that damages you or any other party.

12.Copyright

  • TheClient retains the copyright to data, files and graphic logosprovided by the Client, and grants WEBINFONEX the rights to publishand use such material. The Client must obtain permission and rightsto use any information or files that are copyrighted by a thirdparty. The Client is further responsible for granting WEBINFONEXpermission and rights for use of the same and agrees to indemnify andhold harmless WEBINFONEX from any and all claims resulting from theClient's negligence or inability to obtain proper copyrightpermissions. A contract for website design and/or placement shall beregarded as a guarantee by the Client to WEBINFONEX that all suchpermissions and authorities have been obtained. Evidence ofpermissions and authorities may be requested.

13.Standard Media Delivery

  • Unlessotherwise specified in the project quotation, this Agreement assumesthat any text will be provided by the Client in electronic format(ASCII text files delivered on floppy disk or via e-mail or FTP) andthat all photographs and other graphics will be provided physicallyin high quality print suitable for scanning or electronically in.gif, .jpeg, .png or .tiff format. Although every reasonable attemptshall be made by WEBINFONEX to return to the Client any images orprinted material provided for use in creation of the Client'swebsite, such return cannot be guaranteed.

14.Design Credit

  • Alink to WEBINFONEX will appear in either small type or by a smallgraphic at the bottom of the Client's website. If a graphic is used,it will be designed to fit in with the overall site design. If aclient requests that the design credit be removed, a nominal fee of10% of the total development charges will be applied.

15.Access Requirements

  • If the Client's website is to be installed on a third-party server,WEBINFONEX must be granted temporary read/write access to theClient's storage directories which must be accessible via FTP.Depending on the specific nature of the project, other resourcesmight also need to be configured on the server.

16.Post-Placement Alterations

  • WEBINFONEX cannot accept responsibility for any alterations caused by a third party occurring to the Client's pages once installed. Such alterations include, but are not limited to additions, modificationsor deletions.

17.Domain Names

  • WEBINFONEXmay purchase domain names on behalf of the Client. Payment andrenewal of those domain names is the responsibility of the Client.The loss, cancellation or otherwise of the domain brought about bynon or late payment is not the responsibility of WEBINFONEX. TheClient should keep a record of the due dates for payment to ensurethat payment is received in good time.

18.General

  • TheseTerms and Conditions supersede all previous representations,understandings or agreements. The Client's signature below or paymentof an advance fee constitutes agreement to and acceptance of theseTerms and Conditions. Payment online is an acceptance of our termsand conditions.

19.Governing Law

This Agreement shall be governed by Indian Law

20.Liability

  • WEBINFONEX hereby excludes itself, its Employees and or Agents from all and anyliability from:

  • Lossor damage caused by any inaccuracy;

    Lossor damage caused by omission;

    Lossor damage caused by delay or error, whether the result of negligenceor other cause in the production of the web site;

    Lossor damage to clients' artwork/photos, supplied for the site.Immaterial whether the loss or damage results from negligence orotherwise.

  • The entire liability of WEBINFONEX to the Client in respect of any claimwhatsoever or breach of this Agreement, whether or not arising out ofnegligence, shall be limited to the charges paid for the Servicesunder this Agreement in respect of which the breach has arisen.

21.Severability

  • In the event any one or more of the provisions of this Agreement shallbe held to be invalid, illegal or unenforceable, the remainingprovisions of this Agreement shall be unimpaired and the Agreementshall not be void for this reason alone. Such invalid, illegal orunenforceable provision shall be replaced by a mutually acceptable valid, legal and enforceable provision, which comes closest to theintention of the parties underlying the invalid,


22.Hosting / Virtual Private Servers/Dedicated Servers/Payment Gateways


  • WEBINFONEX havent own hosting servers or data centers, so we purchase WebHosting Space, Virtul Servers , Dedicated Servers and Payment GatwayServices from Third Party Service Providers as per clients requestonly.

  • Due to this WEBINFONEX is not responsible nor liable for any monetory or non-monetary loss due to Website Hacking, Data loss etc. But it doesn't mean We will not help you. Webinfoenx will help to resolve such issues in good faith but not bound to do that.


23.Renewals

  • After several reminders regarding Renewals from Webinfonex, if client fail to make payment againt renewal, respective services will beterminated immediatly and no back up data will be provided toclients. Webinfonex will not responsible any loss due to termnation of such services nor bound to give further intimation.

  • If Client need softcopy of data have to make payment as per company policy .
